3. Intellectual Property We own all intellectual property rights in the services provided by us, including all copyrights, trademarks, trade secrets, and patents. You may use our services solely for your own internal business purposes. You may not modify, copy, distribute, transmit, display, perform, reproduce, publish, license, create derivative works from, transfer, or sell any information, software, products or services obtained from us.

4. Confidentiality We will maintain the confidentiality of any confidential information you provide to us. We will not disclose your confidential information to third parties without your prior written consent.

5. Disclaimer of Warranties We provide our services “as is” and without any warranty or guarantee of any kind, whether express, implied or statutory. We make no warranty that our services will meet your requirements, be uninterrupted, timely, secure, or error-free.

6. Limitation of Liability We shall not be liable for any indirect, incidental, special, consequential or punitive damages, including without limitation, lost profits, lost revenue, lost data or business interruption, even if we have been advised of the possibility of such damages.

7. Termination We may terminate this Agreement at any time with or without cause. Upon termination, we shall have no obligation to provide further services to you.

8. Governing Law and Dispute Resolution This Agreement shall be governed by and construed in accordance with the laws of the state of California. Any dispute arising out of or related to this Agreement shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association.

9. Entire Agreement This Agreement constitutes the entire agreement between you and us and supersedes all prior agreements, representations, and understandings, whether written or oral.

10. Modification We reserve the right to modify this Agreement at any time. We will notify you of any changes by posting the new Agreement on our website.
